The Agent accepts and acknowledges the Transport Order sent in writing by the Principal, including the conditions therein based on the mutual agreement and consent of both parties. The transport fee includes all costs incurred during transportation, including the insurance costs (BÁF, CMR) for road transport. Additional costs will only be borne by the Principal if both parties have agreed upon such extra costs in writing. The parties confirm that the Agent, within their business activities, engages in the transportation of goods, including haulage and freight forwarding, as either an individual or a legal entity.
The Agent agrees to transport the consignment to the destination and deliver it to the recipient in exchange for the transport fee stipulated by this agreement. This Transport Order is considered valid without confirmation and does not require a signature when transmitted electronically. The parties agree that communication in the scope of this contract shall be conducted in writing, except in the event of extraordinary circumstances. Should either party fail to adhere to the written form requirement, that party must prove the truthfulness of their statements and that they informed the other party. In the event of any hindrance, impediment, or extraordinary circumstance arising during transportation, the Agent must promptly inform the Principal. Payment Terms and Deadlines: The Principal shall pay the transport fee to the Agent by bank transfer, as per the payment deadline stipulated in the Transport Order, after the submission of original, properly verified delivery documents (waybill or CMR), and if necessary, additional supporting documentation. In cases where the transport fee is denominated in foreign currency, unless otherwise agreed in writing, the MNB exchange rate applicable on the day of loading shall apply. The date of loading is considered the date of performance.
The driver is prohibited from showing the transport order at the loading or unloading site. The carrier shall make the vehicle available in a suitable condition for transportation, at the designated time and place specified in the contract. The vehicle must be fit for transport, with a clean, undamaged loading surface equipped with the necessary securing devices and, in the case of international transportation, valid CMR insurance coverage of 100,000 EUR. The Agent, via the driver, is required to fulfill the carrier's duty to inspect, especially verifying the goods' acceptance, quantity, and packaging. If the cargo cannot be securely fastened or transported safely, the Agent may refuse transportation, and must inform the Principal in writing.
If the Agent breaches the contract by providing an unsuitable vehicle, or delays in meeting the loading or unloading schedules, they may be liable to pay a compensation fee of up to 200 EUR per day. If the transport task is canceled within 24 hours before the scheduled loading date due to reasons within the Principal’s control, and the Agent has already made the vehicle available for transportation as per the contract, a penalty of 200 EUR applies for vehicles with a 24-ton capacity, or 100 EUR for vehicles below this capacity, provided that a verified standby permit is presented. The Agent is not entitled to a standby fee for loading time (maximum of 4 hours), waiting times on Saturdays, Sundays, and holidays, or waiting times for customs clearance (maximum of 8 hours). The Agent is obligated to bear any damages, fines, penalties, or additional costs resulting from their conduct during the transportation.
Both parties acknowledge and agree that full client confidentiality is in effect regarding this contract, and that the data and information herein cannot be disclosed to third parties or used for business acquisition purposes. The Transport Order is deemed valid even without confirmation if the Agent commences transportation and begins loading the goods. In matters not regulated by this contract, the terms of the CMR Convention and the provisions of the Hungarian Civil Code (Act V of 2013) shall apply.
